Master Cloud Services Agreement

Terms of Service

These Master Terms of Service govern your access to and utilization of MikyHost Cloud Technologies Inc.'s virtual private servers, cloud compute fleets, LiteSpeed web hosting, Anycast network routing, and software licensing.

Version 4.2-Enterprise Effective Date: October 14, 2026 Reading Time: ~8 min
Executive Summary & Core Commitments

By creating an account, depositing wallet funds, or deploying compute infrastructure on MikyHost Cloud Technologies Inc., you enter into a legally binding agreement. We guarantee 99.99% network and power availability, protect your personal data with zero-trust encryption, and respect your absolute ownership over your uploaded code and data. In exchange, you agree strictly to refrain from malicious activities including abusive bandwidth flooding, spamming, and malware distribution.

1 Acceptance of Terms & Eligibility

By accessing our platform website, registering a client workstation profile, executing API commands, or provisioning any compute instances, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our incorporated Privacy Policy.

To be eligible to utilize our cloud platform, you must be at least 18 years of age (or the legal age of majority in your jurisdiction) and possess full legal capacity to enter into binding agreements. If you are registering an account on behalf of an enterprise or governmental entity, you warrant that you hold requisite corporate authorization.

2 Account Credentials & Workstation Security

Clients are solely responsible for maintaining the confidentiality and integrity of their account credentials, including API secret keys, SSH keypairs, root access passwords, and two-factor authentication (2FA) recovery tokens.

Any operational instruction, droplet termination, storage snapshot deletion, or financial transaction dispatched through your authenticated session or registered API key will be deemed authorized by you.

3 Acceptable Use Policy (AUP) & Zero Abuse

We enforce a strict, zero-tolerance policy against network abuse, illegal activities, and malicious behaviors. The following activities are strictly prohibited across all subnets and compute instances:

  • Dispatching or relaying Denial of Service (DoS / DDoS) volumetric attacks.
  • Port scanning, network probing, vulnerability scraping, or unauthorized brute-force attempts.
  • Hosting, distributing, or controlling malware, ransomware, botnets, trojans, or phishing kits.
  • Transmission of unsolicited commercial bulk email (SPAM) or hosting open mail relays.
  • Operating public torrent trackers, unauthorized copyrighted warez distribution, or carding operations.
  • Unregistered high-intensity cryptocurrency mining without prior written NOC authorization.

* Violation results in immediate instance termination, network port null-routing, and forfeiture of account balances.

4 Hypervisor Resources & Fair Use Policy

While our cloud instances provide dedicated AMD EPYC CPU threads and dedicated NVMe Gen4 blocks, shared network interfaces and hypervisor control planes are protected against noisy neighbor degradation.

If an instance consistently sustains 100% CPU thread saturation or continuous saturating outbound packet floods that degrade other tenant nodes, our automated orchestrator reserves the right to throttle or live-migrate the workload to an isolated host to preserve fleet stability.

5 Invoicing, Payments & Applicable Taxes

All services, subscriptions, and prepaid credit deposits are priced and settled in United States Dollars (USD). Invoices are generated automatically 14 days prior to subscription renewal with a 7-day payment window.

Accepted payment methods include major credit cards (Visa, MasterCard, Amex), PayPal, supported Cryptocurrencies (BTC, ETH, USDT), and direct corporate bank wire transfers.

6 Suspensions, Grace Period & Data Deletion

If a subscription invoice remains unpaid following the 7-day payment window:

  • Day 1 – 5: Grace period with instance online and reminder notifications.
  • Day 5: Instance is powered down and suspended. Disks and IP reservations remain preserved. A $10.00 USD late fee may apply.
  • Day 30: Permanent termination. All virtual disks and snapshots are permanently wiped from physical storage without recovery capability.

7 License CMS & Intellectual Property

Clients retain 100% exclusive intellectual property ownership of all application code, proprietary software binaries, databases, and digital assets deployed onto our cloud nodes.

For vendors utilizing the License CMS Anti-Nulled Guard subsystem, you are granted a non-exclusive license to utilize the cryptographic verification API, SDK wrappers, and 3-point binding controllers (Domain, IP, Server Path) for authenticating your legitimate software users.

8 Limitation of Liability & SLA Remedies

To the maximum extent permitted by law, in no event shall our directors, officers, or upstream carrier partners be liable for indirect, incidental, or consequential damages arising out of service utilization.

Our financial liability for network downtime, power failure, or hardware degradation is governed strictly by the remedy matrix outlined in our official Service Level Agreement (SLA).

9 Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California and United States federal law, without giving effect to conflict of laws principles. Legal proceedings shall be instituted exclusively in courts situated in San Francisco County, California.
